TERMS AND CONDITIONS

 

 

1. General provisions.

1.1. These rules of purchase and sale (hereinafter referred to as "Rules") are a legally binding document for the Parties, which establish the rights, duties, and responsibilities of the Buyer when purchasing goods from the online store adamasdirect.com (hereinafter - the online store).

1.2. The Seller reserves the right to change, amend, or supplement the rules at any time, considering the requirements established by legal acts. The Buyer is informed on the website of the online store. The Rules applicable at the time of placing the order apply to the Buyer when shopping in the online store.

1.3. The right to purchase in the online store is granted to:

1.3.1. Active natural persons, i.e., individuals of legal age whose legal capacity is not restricted by court order;

1.3.2. Minors from 14 to 18 years old, only with the consent of parents or guardians, except in cases where they independently dispose of their income;

1.3.3. Legal entities;

1.3.4. Authorized representatives of all the above-mentioned persons.

1.4. By confirming the rules, the Seller also guarantees that, based on clause 1.3 of the rules, the Buyer has the right to purchase goods in the online store.

1.5. The contract between the Buyer and the Seller is considered concluded from the moment the Buyer, in the online store, forms a shopping cart, indicates the delivery address, selects the payment method, and familiarizes themselves with the Seller's rules by clicking the "Confirm order" button (see point 5 "Ordering goods, prices, payment procedure, terms").

 

2. Personal data protection.

2.1. The Buyer can order goods in the online store by:

2.1.1. Registering in this online store - entering the requested data during registration;

2.2. When ordering goods according to the methods specified in clause 2.1, the Buyer must specify the Buyer's personal data necessary for the proper execution of the order in the respective information fields provided by the Seller: name, surname, delivery address of the goods, telephone number, and email address.

2.3. By confirming these rules, the Buyer agrees that the Buyer's personal data provided in clause 2.2 would be processed for the sale of goods and services in the online store, for the Seller's business analysis, and for direct marketing purposes.

2.4. By agreeing that the Buyer's personal data would be processed for the purpose of selling goods and services in the Seller's online store, the Buyer also agrees that informational messages necessary to fulfil the order for goods would be sent to the Buyer's specified email address and telephone number.

2.5. By registering in the online store and ordering goods, the Buyer undertakes to keep and not disclose login details to anyone.

 

3. Buyer's rights and obligations.

3.1. The Buyer has the right to purchase goods in the online store in accordance with these Rules and other sections of this online store's information.

3.2. The Buyer has the right to refuse the purchase and sale agreement with the online store by informing the Seller in writing (via email at info@adamasdirect.com), indicating the desired return of the goods and their order number no later than 14 calendar days from the delivery of the goods. Quality and valid for use goods purchased in the online store can be returned if they are unused, in the original and proper packaging, without losing their commercial appearance (e.g., undamaged label, unpeeled protective film). Goods of suitable quality, such as all food products (including refrigerated, frozen, and fresh items), personal hygiene products, and gift vouchers, cannot be returned or exchanged. “The product is considered of poor quality if:

-The product's expiration date has passed;

-Due to improper storage conditions, the consistency of the product has changed or other essential characteristics;

-The product has been mechanically damaged not due to actions attributable to the buyer.

When returning or exchanging quality goods, the Buyer does not receive a refund for the delivery costs. When returning or exchanging goods, the costs of returning the goods and responsibility for the proper shipment of the goods to the Seller are borne by the Buyer. The returned or exchanged product must reach the Seller no later than 14 calendar days from the day of purchasing the goods. If the product is not returned to the Seller within the specified 14-day period, the Seller is not obliged to replace the goods or refund the money. When complaining about poor product quality, it is mandatory to provide a photo of the poor-quality product. Poor-quality goods purchased in the online store are exchanged or returned after agreeing on the time and place of product pick-up. When returning or exchanging goods purchased in the online store, you will be asked to fill out the provided document for returning or exchanging goods. Money for returned goods will be transferred to your bank account from which you paid for the purchases no later than 5 (five) working days from the day of returning the goods.

3.3. The right specified in clause 3.2 of the Rules may be exercised by the Buyer only if the product has not been damaged or its appearance has not significantly changed, and it has not been used.

3.4. The Buyer undertakes to accept the ordered goods and pay the agreed price for them.

3.5. If there is a change in the data provided in the Buyer's registration form, the Buyer must promptly update them.

3.6. The Buyer undertakes not to disclose their login details to third parties. If the Buyer loses their login details, they must immediately inform the Seller through the "Contacts" section by the means of communication provided.

3.7. By using the online store, the Buyer agrees to these purchase and sale Rules and undertakes to comply with them and not violate UK laws.

 

4. Seller's rights and obligations.

4.1. The Seller undertakes to create all the necessary conditions for the Buyer to properly use the services provided by the online store.

4.2. If the Buyer attempts to harm the stability and security of the Seller's online store or violates their obligations, the Seller has the right to immediately and without warning restrict or suspend the Buyer's ability to use the online store or, in exceptional cases, cancel the Buyer's registration.

4.3. The Seller undertakes to respect the Buyer's privacy rights to the Buyer's personal information indicated in the online store's registration form.

4.4. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer.

 

5. Ordering goods, prices, payment procedure, terms.

5.1. The Buyer can purchase goods in the online store 24 hours a day, 7 days a week.

5.2. The contract comes into force when the Buyer clicks the "Confirm order" button, and upon receipt of the order, the Seller confirms it by sending a confirmation email to the Buyer's specified email address.

5.3. The prices of goods in the online store and in the formed order are indicated in euros, including VAT.

5.4. The Buyer pays for the goods in one of the following ways:

5.4.1. Payment using online banking – this is an advance payment using the online banking system used by the Buyer. To use this payment method, the Buyer must have signed an online banking agreement with one of the serviced banks. The Buyer transfers the money to the online store's settlement account. Responsibility for data security in this case lies with the respective bank, as all monetary transactions take place in the bank's online banking system.

5.4.2. Payment through the PayPal system.

5.5. The Buyer undertakes to pay for the goods immediately. The shipment of goods and the commencement of the delivery term of the goods begins only upon receipt of payment for the goods.

 

6. Delivery of goods.

6.1. The Buyer, choosing the delivery service when placing an order, undertakes to provide the exact delivery location for the goods.

6.2. The Buyer undertakes to accept the goods themselves. If the Buyer cannot accept the goods themselves, and the goods are delivered to the specified address, the Buyer has no right to make claims to the Seller regarding the improper delivery of goods to the wrong recipient.

6.3. The Seller or Seller's authorized representative (couriers) delivers the goods to Buyer’s address or Buyer’s local locker or pick up point.

6.4. The Seller delivers the goods to the Buyer according to the terms specified in the product descriptions. These terms are preliminary and are not applicable in cases where the necessary goods are not in the Seller's warehouse, and the Buyer is informed of the shortage of the ordered goods. At the same time, the Buyer agrees that in exceptional cases, the delivery of goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such a case, the Seller undertakes to immediately contact the Buyer and agree on the conditions for the delivery of the goods.

6.5. In all cases, the Seller is released from liability for violating the delivery terms if the goods are not delivered to the Buyer or are delivered late due to the Buyer's fault or due to circumstances beyond the Seller's control.

6.6. In all cases, the Buyer must promptly inform the Seller (no later than 24 hours from the time of receiving the goods) if the shipment is delivered in a damaged or otherwise compromised package, if unordered goods are included in the shipment, or if there's an incorrect quantity or incomplete set of goods.

6.7. In all cases, if the Buyer notices package damage during delivery, Buyer must inform the courier immediately and no later than 24 hours from the goods' delivery time email info@adamasdirect.com. Not taking such actions exempts the Seller from compensating for damages.

 

7.Quality of goods, warranties.

7.1. The details of each product sold in the online store are generally specified in the description of each product.

7.2. The Seller is not responsible if the goods in the online store, in terms of their colour, shape, or other parameters, do not correspond to the real size, shapes, and colours of the goods due to the features of the Buyer's display device.

7.3. For certain types of goods, the Seller provides a warranty for a certain period, the specific term, and other conditions of which are indicated in the descriptions of such goods.

7.4. For certain types of goods where no warranty is provided, the warranty provided by relevant laws applies.

 

8. Return and exchange of goods.

8.1. Deficiencies in sold goods are rectified, and defective goods are replaced. When addressing poor product quality, it is mandatory to provide a photo of the poor-quality product sent to the email info@adamasdirect.com.

8.2. Quality, non-food products purchased in the online store can be returned if they are unused, in the original and proper packaging, without losing their commercial appearance (e.g., undamaged label, unpeeled protective film), and the Buyer must do so within 14 days from the time of delivery, informing the Seller through the provided contact details. When returning the goods, it is necessary to specify the name of the returned product, the order number, and the reason for the return.

8.3. When returning goods, the Buyer must comply with these conditions:

-The returned goods must be in the original proper packaging.

-The goods must not be damaged by the Buyer.

-The goods must be unused and not lose their commercial appearance (undamaged labels, unpeeled protective films, etc.).

-The returned goods must be in the same set as received by the Buyer.

When returning the goods, the purchase document must be provided.

8.4. The Seller has the right not to accept the goods returned by the Buyer if the Buyer does not follow the return procedure specified in article 8.3.

8.5. When returning the wrong or defective goods, the Seller undertakes to take back such goods and replace them with suitable goods.

8.6. If the Seller does not have suitable replacement goods, the Buyer receives a refund of the amount paid, excluding the delivery cost.

8.7. When returning or exchanging goods, the costs and responsibility for the proper shipment of the goods to the Seller fall on the Buyer. The returned or exchanged goods must reach the Seller no later than 14 days. If the goods are not returned to the Seller within the specified 14-day period, the Seller is not obliged to replace the goods or refund the money.

 

9. Buyer's and Seller's liability.

9.1. The Buyer is fully responsible for the accuracy of the personal data provided by the Buyer. If the Buyer does not provide accurate personal data in the registration form, the Seller is not responsible for the resulting consequences and has the right to demand compensation for direct losses incurred by the Buyer.

9.2. The Buyer is responsible for actions taken using this online store.

9.3. A registered Buyer is responsible for passing on their login data to third parties. If a third party uses the services of the online store using the Buyer's login data, the Seller considers this person as the Buyer.

9.4. The Seller is released from any liability in cases where losses arise because the Buyer, disregarding the Seller's recommendations and Buyer's obligations, did not familiarize themselves with these Rules, even though such an opportunity was provided to them.

9.5. If there are links to other companies, institutions, organizations, or individuals' websites in the Seller's online store, the Seller is not responsible for the information on those websites, their activities, does not supervise those websites, does not control them, and does not represent those companies or individuals.

9.6. In the event of damage, the guilty Party compensates the other Party for direct losses.

 

10. Marketing and information.

10.1. The Seller may initiate various promotions in the online store at their discretion.

10.2. The Seller has the right unilaterally, without separate notice, to change the terms of promotions and to cancel them. Any changes or cancellations of promotion terms and conditions apply only from the moment of their execution.

10.3. The Seller sends all notifications to the Buyer's contact information specified in the registration form.

10.4. The Buyer sends all notifications and questions to the Seller's online store section "Contacts" at the indicated phone numbers and email addresses.

10.5. The Seller is not responsible if the Buyer does not receive informational or confirming messages due to internet connection issues or disruptions in email service providers' networks.

12. Final provisions.
